Terms of Service

1. Acceptance of These Terms

Welcome to Seeek.

These Terms of Service (“Terms”) govern your access to and use of the Seeek platform and any related services (collectively, the “Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Service.

You must use the Service only in compliance with all applicable laws and regulations in your jurisdiction.

Seeek may revise or update these Terms at any time, with or without prior notice. Any updated version becomes effective immediately upon publication unless otherwise stated. Your continued use of the Service after any changes are published constitutes your acceptance of the revised Terms.

If you do not agree with any updated Terms, you must stop using the Service.

2. Beta Service

Seeek is currently provided as a beta service. During this period, the Service is actively being developed, tested, and improved.

As a beta service:
• Features may be added, modified, suspended, or removed at any time.
• Certain functionality may be incomplete or unavailable.
• Performance, availability, and user experience may change without prior notice.
• The Service may occasionally experience bugs, errors, or temporary interruptions.

While we make reasonable efforts to provide a stable and reliable experience and continuously improve the Service, we do not guarantee that the Service will always operate without interruption or that every issue will be resolved immediately.

Because the Service is still in beta, we recommend that users keep their own copies of any important information or content submitted through the Service.

3. User Accounts

To use certain features of the Service, you must create an account.

You agree to provide accurate, complete, and up-to-date information when registering and to keep your account information current.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you believe your account has been accessed without authorization, you should notify Seeek as soon as possible.

You may not create an account using false or misleading information, impersonate another person or organization, or otherwise misrepresent your identity.

Unless expressly permitted by Seeek, each user may maintain only one account. You may not share, transfer, sell, or allow others to use your account.

Seeek may request additional information to verify your identity or account information when reasonably necessary.

Seeek reserves the right to suspend, restrict, or remove any account that violates these Terms or is reasonably believed to compromise the security, integrity, or proper operation of the Service.

4. Marketplace Rules

Seeek provides a platform where clients and freelancers can connect and collaborate on software development projects.

Clients are responsible for providing accurate project information, communicating requirements clearly, responding to reasonable requests for clarification, and treating freelancers respectfully throughout the project process.

Freelancers are responsible for submitting truthful proposals, communicating professionally, performing work to the best of their abilities, and delivering work that is consistent with the agreed project requirements.

Users should communicate through the Service whenever reasonably possible. All users are expected to communicate respectfully and honestly and must not engage in harassment, abusive behavior, threats, discrimination, or other inappropriate conduct.

Users must use the Service fairly and in good faith. Activities intended to manipulate project outcomes, mislead other users, abuse platform features, or otherwise undermine the integrity of the marketplace are prohibited.

Clients are solely responsible for selecting freelancers, and freelancers are solely responsible for deciding whether to submit proposals or accept project opportunities. Seeek does not guarantee that any project will receive proposals or that any proposal will result in a project being awarded.

5. QA Service

Seeek may offer an optional Quality Assurance (“QA”) Service for eligible projects.

The QA Service is intended to assist clients by reviewing project deliverables against the project requirements and identifying potential issues or areas for improvement. The scope of any QA review is limited to the services explicitly provided by Seeek.

The QA Service does not guarantee that a project is free from defects, that all issues will be identified, or that the deliverables are suitable for any particular purpose.

A QA review does not replace the client’s responsibility to evaluate and accept project deliverables. Likewise, freelancers remain fully responsible for the quality, accuracy, and completeness of their work.

QA reviews represent the professional judgment of the assigned QA reviewer based on the information and deliverables available at the time of review. A QA review should not be interpreted as a guarantee of project quality, completeness, or fitness for any particular purpose.

Seeek may modify, suspend, or discontinue the QA Service at any time as part of the ongoing beta development of the Service.

6. User Content and Intellectual Property

Users retain ownership of the content they create, upload, submit, or otherwise provide through the Service (“User Content”).

By submitting User Content to the Service, you grant Seeek a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, display, and otherwise use such User Content solely as necessary to operate, maintain, improve, and provide the Service.

You represent and warrant that you own, or have the necessary rights and permissions to submit, your User Content and that your User Content does not violate any applicable law or infringe the rights of any third party.

Unless otherwise agreed between the client and the freelancer, ownership of project deliverables and related intellectual property is determined by the agreement between those parties. Seeek does not claim ownership of project deliverables solely because they are submitted through the Service.

Users are solely responsible for the User Content they submit and for ensuring that they have the necessary rights to use and share such content.

7. Prohibited Activities

You agree not to use the Service to engage in, promote, or facilitate any activity that is unlawful, fraudulent, harmful, or inconsistent with the intended purpose of the Service.

Without limitation, you must not:
• Create false or misleading accounts, projects, proposals, or other content.
• Impersonate any person or organization.
• Submit fraudulent, deceptive, or intentionally misleading information.
• Harass, threaten, abuse, or discriminate against other users.
• Upload or distribute malware, viruses, or other harmful code.
• Infringe or misappropriate the intellectual property or other rights of any third party.
• Access, interfere with, or attempt to disrupt the operation, security, or integrity of the Service.
• Use bots, scripts, automated tools, or other technical means to abuse, overload, or interfere with the Service.
• Attempt to exploit bugs, security vulnerabilities, or unintended platform behavior.
• Collect, scrape, or harvest data from the Service in an unauthorized manner.
• Use the Service for any illegal purpose or in violation of applicable laws or regulations.

Seeek reserves the right to determine, in its reasonable discretion, whether any activity violates these Terms or threatens the security, integrity, or proper operation of the Service.

8. Suspension and Termination

Seeek may suspend, restrict, or terminate your access to the Service, or remove any content associated with your account, if we reasonably believe that:
• You have violated these Terms.
• Your activities may harm other users or the Service.
• Your account has been compromised or is being used without authorization.
• Suspension or termination is necessary to protect the security, integrity, or proper operation of the Service.
• We are required to do so by applicable law or a lawful request from a governmental authority.

Where reasonably practicable, Seeek may notify you before or after taking such action. However, Seeek may take immediate action without prior notice if we believe doing so is necessary to protect the Service, its users, or applicable legal interests.

You may stop using the Service at any time. If you wish to permanently close your account, you may do so through any available account management features or by contacting Seeek.

Suspension or termination of your account does not limit any rights or remedies that Seeek may have under these Terms or applicable law.

9. Disclaimer

The Service is provided on an “AS IS” and “AS AVAILABLE” basis, particularly during the beta period.

While Seeek makes reasonable efforts to provide a stable, reliable, and secure Service, we do not guarantee that the Service will always be uninterrupted, error-free, or available at all times.

The Service may contain bugs, incomplete features, or other issues that are inherent in software under active development.

Seeek does not guarantee the accuracy, quality, legality, safety, reliability, or performance of any project, proposal, deliverable, user, or User Content available through the Service.

Any decisions made by clients or freelancers, including hiring decisions, project participation, or reliance on information provided through the Service, are made at their own discretion and responsibility.

Nothing in these Terms excludes or limits any rights that cannot be excluded or limited under applicable law.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Seeek shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your access to or use of the Service.

This limitation applies regardless of the legal theory on which a claim is based, including contract, tort (including negligence), strict liability, or otherwise.

Nothing in these Terms shall limit or exclude any liability that cannot be limited or excluded under applicable law.

11. Miscellaneous

Seeek reserves the right to modify, suspend, discontinue, or remove any part of the Service at any time, with or without prior notice.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

The failure of Seeek to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights under these Terms.

These Terms constitute the entire agreement between you and Seeek regarding your use of the Service.
